Terms of Service

These Terms govern the use of the aiSwingX™ website (aiswingx.com), email newsletter, API and MCP server (together, the "Service") operated by [Legal entity name] (the "Company"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

1. "Content" means articles, summaries, metric data, images, API responses and all other material the Company provides through the Service.
2. "Public Content" is available without login or payment; "Paid Content" is available only to users with an active paid subscription.
3. "Personal", "Team" and "License" plans are the paid subscription products described on the pricing page.
4. "API Key" means a credential the Company issues for access to the REST API and MCP server.

2. Nature of the Service; No Investment Advice

1. The Service is an information service that analyzes filings submitted to the U.S. Securities and Exchange Commission and publishes the analysis as articles.
2. Content is provided for general informational purposes only. It does not recommend buying, selling or holding any security and does not constitute investment, financial, legal or tax advice. The Company is not a registered investment adviser.
3. You are solely responsible for any investment decision made in reliance on Content and for its outcome.
4. Content reflects filings as of the time of writing and may not reflect subsequent amendments or market developments.

3. Accounts

1. Accounts are identified by email address and accessed through emailed login links, an optional password, or Google sign-in.
2. You are responsible for the security of your email account and password and for all activity under your account.
3. You must be at least 18 years old to use the Service.
4. You may delete your account at any time from account settings. Deletion cancels any active paid subscription immediately; refunds for the remaining period are governed by Section 6.

4. Subscriptions and Billing

1. Fees, billing periods and plan scope are as posted on the pricing page. Korean-language pages bill in KRW; English-language pages bill in USD.
2. Payments are processed by Stripe, Inc. The Company does not store card numbers or other payment instrument details.
3. Subscriptions renew automatically at the end of each billing period (monthly or annual) and the then-current fee is charged to the payment method on file. You may cancel at any time before the renewal date from the subscription management page; access to Paid Content continues until the end of the current period.
4. If a payment fails, the Company or Stripe may retry for a period; if retries fail, the subscription is cancelled.
5. The Company may change fees with at least 30 days' notice by email or in-Service notice. Changed fees apply from the first renewal after the notice period.
6. Team plan fees are calculated by the number of registered members. The team owner controls, and is responsible for, adding and removing members and changing headcount.

5. Permitted Use of Content

1. Copyright and other intellectual property rights in Content belong to the Company.
2. Free and Personal plan users may view Content for personal, non-commercial purposes. Copy and download features on the Personal plan are for personal reference; redistributing, publishing or selling all or a substantial part of Content to third parties is not permitted.
3. Team plan users may use Content for internal reference within the registered team.
4. Quotation within customary limits is permitted provided the source (aiSwingX™ and the article URL) is cited.
5. API Keys may be used only by the user to whom they were issued, or within the scope of a license agreement, and may not be transferred or shared. The Company may set daily call limits and restrict access when they are exceeded.

6. Refunds

1. You may request a full refund within 7 days of the first payment if you have not opened any Paid Content during that period.
2. Otherwise, fees already paid for a billing period are non-refundable, except that if the Service is unavailable for a substantial period due to the Company's fault, the Company will refund a proportionate amount or extend the subscription.
3. Refunds are made to the original payment method and may take 5–10 business days through Stripe.
4. No pro-rata refund is provided for the remainder of a period after cancellation.

7. License Plan

1. License plan subscribers ("Licensees") receive a non-exclusive, non-transferable right, for the subscription term, to publish and redistribute Content in their own applications, websites, news platforms and research materials.
2. Licensees must attribute redistributed Content to aiSwingX™, except that Content delivered under the white-label option may omit attribution in the manner described in the usage guide.
3. Licensees may not alter or remove figures, source citations or the no-investment-advice statement. Headlines may be edited.
4. Licensees may not sublicense Content to third parties or sell Content as a stand-alone product.
5. Redistribution rights end when the subscription ends; Content lawfully published during the term may remain published.
6. A separate written agreement between the Company and a Licensee prevails over this Section.

8. Accuracy and Corrections

1. Every figure is cited to the original filing and reviewed before publication. If an error is found, the Company corrects the Content and marks the correction.
2. The Company does not warrant that Content is complete, accurate or current. Verify the original filing before making any significant decision.

9. Prohibited Conduct

1. Copying, distributing, transmitting or selling Content beyond the permitted scope, or using Content to build a competing service.
2. Collecting pages or Content by automated means other than the documented API (crawlers, scrapers, scripts), circumventing access restrictions, or evading API limits. The Company blocks such access technically and retains access records (IP address, time, requests), which may be used as the basis for suspension, damages claims and other legal action.
3. Using another person's account or API Key without authorization.
4. Interfering with the operation or security of the Service.
5. Any conduct that violates applicable law.

10. Changes to and Suspension of the Service

1. The Company may change the content, features or delivery of the Service and will give advance notice of material changes.
2. The Company may suspend the Service temporarily for maintenance, outages or force majeure.
3. If the Company discontinues the Service permanently it will give at least 30 days' notice and refund paid subscribers for any unused period.

11. Limitation of Liability

1. The Service and Content are provided "as is". To the maximum extent permitted by law, the Company disclaims all express or implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
2. The Company is not liable for investment losses, lost profits, loss of data or any direct, indirect, incidental or consequential damages arising from use of or inability to use the Content.
3. Where liability is established, the Company's total liability is limited to the amount you paid to the Company in the 12 months preceding the event giving rise to the claim.
4. Some jurisdictions do not allow these limitations; in those jurisdictions they apply to the maximum extent permitted.

12. Termination

The Company may suspend or terminate an account, after notice, for breach of these Terms, and immediately for material breach. No refund is provided for the remaining term when a Licensee's subscription is terminated for breach.

13. Governing Law and Disputes

1. These Terms are governed by the laws of the State of [State], United States.
2. The parties will first attempt to resolve disputes by negotiation; failing that, the [courts] of [State] have exclusive jurisdiction.
3. For consumers resident in the Republic of Korea, mandatory provisions of Korean consumer protection law prevail.

14. Changes to these Terms

The Company may amend these Terms. Amendments are announced in the Service or by email; amendments unfavorable to users are announced at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
